Our commitment is simple: professional marketing work without a long-term contract. You can cancel a month-to-month engagement with 30 days’ written notice.
No refunds for paid service periods. We reserve capacity and complete ongoing work each month. If something is not right, tell us promptly so we can work in good faith to address it during your active service period.
01
Acceptance and Scope
These Terms of Service govern your use of consultrushworth.com and, unless a separate written agreement says otherwise, the marketing services provided by Consult Rushworth (“we,” “us,” or “our”). By using the website, submitting an inquiry, booking a call, or engaging our services, you agree to these Terms. If you are acting for a business, you represent that you have authority to bind that business.
02
Our Services
Consult Rushworth provides digital marketing and related consulting services, which may include website development and maintenance, search advertising, SEO, social media management, email marketing, reputation management, analytics, strategic planning, and custom monthly Sparkplug engagements. The specific services, deliverables, fees, platform budgets, timelines, and responsibilities for an engagement will be described in a tailored proposal, statement of work, or other written agreement. Those engagement-specific terms control if they conflict with these Terms.
03
Month-to-Month Engagements
Unless a written agreement states otherwise, services are provided on a month-to-month basis. There is no long-term contract commitment. Monthly service fees are charged in advance for the upcoming service period. You may cancel a month-to-month engagement by providing at least 30 days’ written notice before your next renewal date. Services continue through the end of the paid service period unless we agree otherwise in writing.
04
Fees, Advertising Budgets, and Payment
You are responsible for paying the agreed service fees, applicable taxes, and any third-party charges. Advertising spend, software subscriptions, hosting, domain renewals, stock assets, production costs, and other third-party expenses are separate from our service fees unless expressly included in writing. You are responsible for maintaining valid payment information and paying amounts when due. We may pause work or access to managed accounts for overdue amounts after reasonable notice.
05
No-Refund Policy
Because our services are provided month-to-month and include reserved capacity, ongoing strategy, management, creative work, and access to specialized expertise, fees paid for a current or completed service period are non-refundable. This policy applies even if you stop using a service before the end of the paid month. If you have a concern about the quality, scope, or delivery of work, please notify us promptly so we can review the concern and make reasonable good-faith efforts to address it within the active service period. Nothing in this section limits any non-waivable right you may have under applicable law.
06
Client Responsibilities
You agree to provide accurate information, timely feedback, approvals, requested assets, platform access, and any legally required disclosures, permissions, or claims substantiation for your business. You are responsible for your products, services, pricing, customer relationships, website content, and compliance with all laws that apply to your business, including advertising, privacy, employment, consumer-protection, intellectual-property, and industry-specific requirements. Delays caused by missing client materials, approvals, or access may affect timelines and do not create a refund right.
07
Marketing Results and Third-Party Platforms
Marketing outcomes depend on many factors outside our control, including your offer, sales process, market conditions, competition, customer demand, website performance, platform changes, ad auction dynamics, budgets, and timely client participation. We do not guarantee rankings, traffic, leads, sales, revenue, ad approval, social reach, or any specific result. Google, Meta, Shopify, Calendly, email platforms, and other third parties control their own systems and policies; we are not responsible for their outages, account decisions, policy changes, fees, or actions.
08
Intellectual Property and Portfolio Use
You retain ownership of content and materials you provide to us. Upon full payment of the applicable fees, you receive the rights expressly stated in the applicable proposal or statement of work for final deliverables created specifically for you. We retain ownership of our pre-existing materials, methods, templates, know-how, tools, and general skills. Unless you tell us otherwise in writing, we may identify your business name and publicly available work in our portfolio or case studies, provided we do not disclose confidential information.
09
Confidentiality
Each party will use reasonable care to protect the other party’s non-public business information and will use it only to perform or receive the services. This obligation does not apply to information that is publicly available without breach, independently developed, rightfully received from another source, or required to be disclosed by law.
10
Website Tools and Information
The Growth Calculator, articles, chatbot, and other website tools are provided for general educational and planning purposes. Their estimates are based on the information entered and stated assumptions; they are not financial, legal, tax, or business guarantees. You should independently verify material decisions before relying on them.
11
Limitation of Liability
To the fullest extent allowed by law, Consult Rushworth will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from the website or services. Our total liability for any claim arising from an engagement will not exceed the service fees you paid to us for the three months immediately preceding the event giving rise to the claim. This limitation does not apply where liability cannot legally be limited.
12
Termination
Either party may end a month-to-month engagement with the notice described above, unless a written agreement provides another process. We may pause or terminate services for nonpayment, unlawful conduct, material breach, or circumstances that make continued work impractical. Sections that should reasonably survive termination—including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, and dispute provisions—will survive.
13
Governing Law and Changes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in or serving Marin County, California, unless applicable law requires otherwise. We may update these Terms from time to time. Updates take effect when posted, while active client engagements remain subject to their written engagement terms for the current service period unless otherwise agreed.
